Partijen worden hierna aangeduid als “de werknemer” en “MBA”.

1 Het procesverloop
1.1.

De werknemer heeft een verzoek gedaan om MBA te veroordelen tot betaling van een billijke vergoeding en van een vergoeding wegens onregelmatige opzegging. Daarnaast heeft de werknemer nevenverzoeken gedaan. MBA heeft een verweerschrift ingediend.

1.2.

Op 21 november 2019 heeft een zitting plaatsgevonden. De griffier heeft aantekeningen gemaakt van wat partijen ter toelichting van hun standpunten naar voren hebben gebracht. Van de zijde van de werknemer zijn pleitnotities overgelegd. Voorafgaand aan de zitting heeft de werknemer nog stukken toegezonden.

2 De feiten
2.1.

De kantonrechter gaat uit van de volgende feiten.

2.2.

De werknemer, geboren op [geboortedag] 1968, is op 1 mei 2019 in dienst getreden bij MBA. Via MBA was de werknemer werkzaam voor opdrachtgever Dell, waar hij als helpdeskmedewerker eerstelijns assistentie verleende aan de European Patent Office (EPO) bij het gebruik van Dell producten.

2.3.

Voorafgaand aan de indiensttreding bij MBA heeft de heer [betrokkene 1] , recruiter van MBA, de werknemer benaderd en hem de vacature van de functie toegezonden. In de omschrijving stond bij de duur van het contract ‘long term’. Vervolgens heeft de heer [betrokkene 1] bij een volgend e-mailbericht van 20 maart 2019 de vacature nog eens toegezonden. De duur van het project was in deze vacature omschreven als ‘first contract until 2023’. Op 21 maart 2019 heeft de heer [betrokkene 1] bevestigd dat op 22 maart een telefonisch sollicitatiegesprek zou plaatsvinden. In deze bevestiging is voor zover van belang het navolgende opgenomen:

2.4.

In de arbeidsovereenkomst is, voor zover van belang, het navolgende opgenomen:

-The Employer wishes to engage the Employee, amongst other things, to set down the terms and conditions with regard to the duties to be performed for the benefit of the Client and the Recipient of services in this Employment Contract;

- Subject to the following terms and conditions, the Employee and the Employer wish to enter into an employment contract for the duration of the Project as specified in the Schedule.

Definitions

In this Contract, the following definitions are used:

The Schedule : Outline of special terms and conditions with regard to this Employment Contract, which contains specific conditions for the Employee relating to his/her concrete assignment for the Project. The Schedule forms an inextricable part of this Contract.

The Client : The Employer’s Client, as described in the Schedule, i.e. the party on whose behalf or for whose benefit the Employee will physically perform duties at or for the benefit of the Recipient of Services. In certain cases, the Client may also be the Recipient of Services.

The Recipient of Services : The Client’s commissioning party and/or the ultimate beneficiary of the duties performed as described in the Schedule, i.e. the party at which or for whose benefit the Employee will be physically carrying out his/her duties.

Project: The specific project for which the Client has hired the Employer’s Employee to perform the duties specified in the Schedule.

Duties : The duties to be performed and services to be provided by the Employee on the basis of this Employment Contract and the Schedule, within the scope of which the Employee will be deployed to perform duties for the Client and the Recipient of Services.

Target Rate : Compensation received by the employer from the client, for the work

performed by the employee per hour (or per day when specified in the Schedule). The

compensation is equal to the cost price, transitional remuneration, wage- administration

costs/ mark- up (of Employer) of the Employer.

Bonus : A gross bonus, calculated on the basis of the following formula:

Bonus formula = A x B (+ sickness benefit, if applicable) - (C- D - E - F - G)

A. Total number of hours/days worked by the Employee while this Contract is in force.

B. Target rate.

C. Total amount paid to the Employee while this Contract is effective, pursuant to the

obligations under the Employment Contract.

D. Payments due to the Employee as compensation for days’ leave not taken.

E. All taxes and social security contributions, including the Employer’s charges and all

other current and/or future charges and/or liabilities to be paid by the Employer of

whatever name or title and whatever nature, payable in accordance with the total

amounts payable in accordance with this Contract.

F. The Employers (payroll) accounting costs and fixed percentage of profit and risk, as

specified in the Schedule.

G. Transitional remuneration.

1 Commencement and duration of the Employment Contract

1.5

The Employment Contract will be legally terminated as soon as (the duties described in) the Project is/are completed and/or finalised. The Contract will therefore end on that date without notice of termination, action, or any other act or notification being required. The notice obligation pursuant to section 7:668 of the Dutch Civil Code does not apply, since it has been agreed in writing upon entry into the Employment Contract that it will end at any time which is not set at a calendar date.

4 End of Employment Contract
4.1

The Employment Contract shall end legally and will end with immediate effect and without any obligations for the Employer in any of the following situations:

* at the Employer’s discretion at any time during the probationary period;

* on termination of the Project as described in the Schedule;

* on termination of the Contract and/or partial contract between the Client and the Employer for any reason whatsoever;

* if the Client/Recipient of Services request that the Employee be dismissed of removed from the Project as a result of an act, omission or failure on the Employee’s part;

The Employment Contract may be terminated prematurely, subject to the statutory term of notice set down in the Civil Dutch Code, Notice shall be given in compliance with section 7:672 of the Dutch Civil Code. (…)

25 Final conditions

25.2

With the exception of provisions in the absence of choice of law, the basis of the law applicable cannot be derogated from by agreement, and those articles in this contract which specifically state that Dutch Law applies, this Agreement shall be construed in accordance with and be governed in all respects by English Law. Parties understand that so-called semi-mandatory and three quarters mandatory provisions, are provisions which may deviate by agreement.

Project description :

The project is defined as the duties performed by the Employee on The Recipient of Services’ premises in accordance with the contract between The Employer and the Client. As agreed with the Client, the project shall commence on the date mentioned in article 1.1 of this contract and will end either on the date set by the Client or otherwise laid down in this contract or at the moment at which the engagement agreement between the Client and the Employer ends.

The project is for:

1. The temporary enforcement of the flexible shell regarding the 1st line services on behalf of the client/recipient of services. Employee is aware of the temporary nature of this agreement. Employee confirmed that the employment contract is temporary for the duration of the project. With the interpretation of the flexible shell, the employee ensures that Client/Recipient of Service can access external knowledge and/or can support the staff or fill in a replacement function at the Client/Recipient of Services. The goal is that the capacity can quickly be adapted to the market conditions. (…)

2. The purpose of the Project is to provide and support the Recipient of Services with an end-user and distributed computing environment which is in line with best practice and meets the needs of the Recipient of Services.

3. The Employee shall use his PC architecture/technology skills and Service Procedures

experience to provide multi-lingual phone and electronic based support, and take

responsibility for customer satisfaction through effective handling of customer

problems and queries. The Employee shall perform those services on an independent

basis without the need for guidance and instructions.
